Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 30, 2007, the Company entered into a letter agreement with Russell Bartlett, Senior Vice President, CRM and Data Services, providing for severance of one year base salary and benefits under certain circumstances.

A copy of the letter agreement is attached hereto as exhibit 10.1 and incorporated herein by reference.
