Introduction

 

This statement on Schedule 13D/A-3 (the “Statement”) hereby amends the Schedule 13D filed on July 30, 2003 (the “Original 13D”), the Schedule 13D/A-1 filed on July 30, 2003 (the “First Amendment”) and the Schedule 13D/A-2 filed on July 30, 2003 (the “Second Amendment and together with the Original 13D and the First Amendment, the “Prior Schedule 13Ds”) by Mr. Eric Butlein, Ms. Jayne Butlein and Ejada Limited Partnership (collectively the “Reporting Persons”), with respect to the beneficial ownership of shares of common stock, par value $.001 per share (the “Common Stock”), of Cash Technologies, Inc., a Delaware corporation (the “Issuer”).

 

Capitalized terms used and not defined herein have the meanings ascribed to such terms in the Prior Schedule 13D’s. The Items of the Prior Schedule 13D’s set forth below are hereby amended and supplemented as follows:

Item 3.    Source and Amount of Funds or Other Consideration

 

See response to Item 5(a) and (b), which is incorporated herein by reference. On November 26, 2002, the Reporting Persons purchased an aggregate of 15,000 shares of the Issuer’s common stock on the open market. In addition, the Reporting Persons purchased an additional 200 shares of the Issuer’s common stock in an open-market transaction on December 4, 2002. The funds used by the Reporting Persons in these transactions were from their personal funds. On May 22, 2003, the Issuer issued to the Reporting Persons an aggregate of 14,787 shares of Common Stock in lieu of cash dividend payments on the Reporting Persons’ shares of Series B Preferred Stock. No additional consideration passed from the Reporting Persons to the Issuer in connection with this issuance. On July 10, 2003, the Reporting Persons converted a convertible note in the aggregate principal amount of $500,000 into shares of common stock at a conversion rate of $2.50. In addition, the Reporting Persons also converted accrued but unpaid interest on the note in an amount of $150,000 into shares of common stock at the $2.50 conversion rate. Accordingly, the Reporting Persons were issued an aggregate of 260,000 shares of common stock on July 10, 2003. No additional consideration passed from the Reporting Persons to the Issuer in connection with this issuance. In addition, on September 11, 2003, the Reporting Persons were issued 98,872 shares of common stock as a payment of accrued dividends on 480,769 shares of Series C Preferred Stock held by the Reporting Persons. No additional consideration passed from the Reporting Persons to the Issuer in connection with this issuance.

 

Item 4.    Purpose of Transaction

 

The Reporting Persons holds all their shares of Common Stock and securities convertible into shares of Common Stock            , including the additional securities described in Item 3 of this Schedule 13D/A, for general investment purposes.

The Reporting Persons or their affiliates, may from time to time acquire additional shares of Common Stock in open market or negotiated block transactions, consistent with their investment purposes or may acquire additional securities of the Issuer through private transactions, which securities may be convertible into additional shares of Common Stock. Additionally, the Reporting Persons may from time to time sell its shares of Common Stock in open market transactions or in negotiated block sales to one or more purchasers, consistent with its investment purpose. However, the Reporting Persons do not currently have plans or proposals which relate to, or would result in: (a) the acquisition by any person of additional securities of the Issuer, or the disposition of securities of the Issuer; (b) an extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Issuer or any of its subsidiaries; (c) a sale or transfer of a material amount of assets of the Issuer or any of its subsidiaries; (d) any change in the present board of directors or management of the Issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board; (e) any material change in the present capitalization or dividend policy of the Issuer; (f) any other material change in the Issuer’s business or corporate structure; (g) changes in the Issuer’s charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Issuer by any person; (h) causing a class of securities of the Issuer to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; (i) a class of equity securities of the Issuer becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Act; or (j) any action similar to any of those enumerated above.

 

Item 5.    Interest in Securities of the Issuer

 

(a)–(b) As a result of the Reporting Persons’ transactions described in Item 3 of this Schedule 13D/A-3, the Reporting Persons may be deemed to be the beneficial owner of 1,996,170 shares of Common Stock. Such number of shares of Common Stock constitutes approximately 19.3% of the issued and outstanding shares of Issuer’s Common Stock based on the number of shares of Issuer’s Common Stock outstanding as of September 11, 2003 and giving effect to the conversion of the convertible securities held by Reporting Persons as reported in the Prior Schedule 13D’s and herein. The Reporting Persons have the sole power to vote, direct the vote, dispose and direct the disposition of all such shares of Common Stock of the Issuer.

 

In addition to the securities described in the Prior Schedule 13D’s, the Reporting Persons currently beneficially own the securities of the Issuer described in Item 3 of this Schedule 13D/A-3 as follows: (i) 274,787 shares of Common Stock held in the name of Ejada Limited Partnership; (ii) 98,872 shares of Common Stock held in the name of ADA Partners, LLC; (iii) 10,000 shares of Common Stock held in the name of EADA Grantor Retained Annuity Trust and (iv) 5,200 shares of Common Stock held in the name of JADA Grantor Retained Annuity Trust.

 

(c) Except as described in Item 3 and Item 5(a), the Reporting Persons have not effected any transactions in the Issuer’s Common Stock during the past sixty days.

 

(d) To the Reporting Persons’ knowledge, no other person has the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of, the securities of the Reporting Persons reported on herein.
