Item 8.01 Other Events

On May 28, 2008 Univest Corporation of Pennsylvania, parent company of Univest National Bank and Trust Co., Univest Insurance, Inc., and Univest Investments, Inc., issued a press release reporting the declaration of its second quarter dividend of $0.20 per share. This dividend distribution remains consistent with the first quarter of 2008. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1.

UNIVEST CORPORATION DECLARES SECOND QUARTER DIVIDEND

SOUDERTON, Pa.,May 28, 2008 - Univest Corporation of Pennsylvania’s (listed on NASDAQ: UVSP) board of directors declared today a $.20 per share quarterly cash dividend to be paid on July 1, 2008 to shareholders of record as of June 11, 2008.
