Shares (the "Shares") held by Novelty Capital Partners LP, a Delaware limited partnership ("NCPLP"), of which Novelty Capital Partners GP, LLC, a Delaware limited liability company ("GPLLC"), is the general partner. Novelty Capital, LLC, a Delaware limited liability company ("Novelty Capital"), is the sole member of GPLLC and acts as investment advisor to NCPLP. Reporting Person is the managing partner of Novelty Capital and disclaims beneficial ownership of the Shares except to the extent of his pecuniary interest, if any, therein.
