Explanatory Note

This Current Report on Form 8-K/A amends the Current Repot on Report on Form 8-K filed by Triumph Group, Inc. (the “Company”) on April 26, 2022 to disclose the appointment of Neal J. Keating to the Company’s Board of Directors. This Form 8-K/A discloses certain board committee assignments relating to Mr. Keating.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers.

On April 28, 2022, Mr. Keating was appointed to the Audit Committee and the Human Capital and Compensation Committee of the Company’s Board of Directors. Mr. Keating has been designated an “audit committee financial expert.”
