This Amendment No. 5 to the Registration Statement on Form N-6 (the "Registration Statement") (File Nos. 333-111688, 811-07837) is being filed pursuant to Rule 485(b) under the Securities Act of 1933, as amended, to add a supplement to the prospectus filed with Post-Effective Amendment No. 4 to the Registration Statement, which was filed on May 1, 2006. This Amendment relates only to the prospectus, SAI and exhibits included in this Amendment and does not otherwise delete, amend, or supersede any prospectus, statement of additional information, exhibit, or other information contained in Post-Effective Amendment No. 4 to the Registration Statement.

1. Effective October 9, 2006, the following investment options are added:

Fidelity VIP Freedom 2015 Portfolio seeks high total return with a secondary objective of principal preservation as the fund approaches its target date and beyond.

Fidelity VIP Freedom 2020 Portfolio seeks high total return with a secondary objective of principal preservation as the fund approaches its target date and beyond.

Fidelity VIP Freedom 2030 Portfolio seeks high total return with a secondary objective of principal preservation as the fund approaches its target date and beyond.

Fidelity VIP Equity-Income Portfolio seeks reasonable income.

Fidelity VIP Mid Cap Portfolio seeks long-term growth of capital.

MFS/Sun Life Emerging Markets Equity Series seeks capital appreciation.

PIMCO VIT Commodity RealReturn Strategy Portfolio seeks maximum real return consistent with prudent investment management.

PIMCO VIT Emerging Markets Bond Portfolio seeks maximum total return, consistent with preservation of capital and prudent investment management.

  1. Effective November 3, 2006, DWS Dreman Small Cap Value VIP will change its name to DWS Dreman Small Mid Cap Value VIP and will also change its investment strategy. The strategy will be as follows: Under normal circumstances, the portfolio invests at least 80% of net assets, plus the amount of any borrowings for investment purposes, in undervalued common stocks of small and mid-size U.S. companies. The portfolio defines small companies as those that are similar in market value to those in the Russell 2000 Value Index (as of June 30, 2006, the Russell 2000 Value Index had a median market capitalization of $602 million). The portfolio defines mid-size companies as those that are similar in market value to those in the Russell Midcap Value Index (as of June 30, 2006, the Russell Midcap Value Index had a median market capitalization of $3.84 billion.) The portfolio intends to invest primarily in companies whose market capitalizations fall within the normal range of each Index.
  2. Effective September 29, 2006, BlackRock Advisers LLC is the investment adviser of Mercury Value Opportunities V.I. Fund.

4. Effective October 2, 2006, FAM Variable Series Funds, Inc. changes its name to BlackRock Variable Series Fund, Inc. The Mercury Value Opportunities V.I. Fund changes its name to BlackRock Value Opportunities V.I. Fund.

5. Effective September 15, 2006, DWS Dreman Financial Services VIP merged into DWS Dreman High Return Equity VIP.

Insofar as indemnification for liability arising under the Securities Act of 1933 may be permitted to directors, officers and controlling persons of Sun Life Assurance Company of Canada (U.S.) pursuant to the certificate of incorporation, by-laws, or otherwise, Sun Life (U.S.) has been advised that in the opinion of the Securities and Exchange Commission such indemnification is against public policy as expressed in the Act and is, therefore, unenforceable.
