As partial compensation per an agreement dated May 19, 2011 and subsequently renewed on May 19, 2012 for consultant work, the Company issued to Monarch Communications, Inc. the following:

On April 5, 2012 the Company issued 28,846 and 207,214 shares of its common stock valued at $0.17 per share in connection with previously received payment of $4,808 and $34,536, respectively, from two stockholders for the exercise of previously issued warrants.
