Item 8.01. Other Events.

On August 2, 2019, Navigant Consulting, Inc., a Delaware corporation (the “Company”), and Guidehouse LLP, a Delaware limited liability partnership (“Parent”), issued a joint press release announcing the execution of an Agreement and Plan of Merger, by and among the Company, Parent and Isaac Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Sub”).

A copy of the joint press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.

Additional Information Regarding the Transaction and Where to Find It

This communication is being made in respect of the proposed merger transaction involving the Company, Parent and Sub.
