Attached as Exhibit 99.1, and incorporated by reference, is a copy of the press release issued by SeaChange International, Inc. (“SeaChange”) dated December 4, 2019, reporting SeaChange’s financial results for the fiscal quarter ended October 31, 2019.

Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of December 3, 2019, Mark Bonney retired as a Class I Director and Chairman of the Board of SeaChange.  Mr. Bonney had served as a director since August 2017, Executive Chair from April 4, 2019 to October 1, 2019, and independent Chairman of the Board from October 1, 2019 to his resignation.  Mr. Bonney’s decision to resign from the Board did not involve a disagreement with SeaChange on any matter relating to SeaChange’s operations, policies or practices. Robert Pons has been appointed Chairman of the Board.

In lieu of payment to Mr. Bonney of a pro-rated short-term incentive award and RSUs for service as Executive Chair, each as previously disclosed in the Current Report on Form 8-K filed April 5, 2019, on December 3, 2019 SeaChange issued to Mr. Bonney 70,821 shares of common stock, to vest on April 4, 2020.
