ITEM 5.02.  DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS.

Effective June 17, 2010 Robert L. Stevens resigned as Interim CFO, Secretary and Director. Effective immediately Mark Goldberg, CEO will be appointed CFO and Michael Scaglione, a Director, shall be appointed Secretary of the Company.
