Item 5.01. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     John W. Lough, Executive Vice President — Distribution Center Logistics for Abercrombie & Fitch Co. (the “Company”), will retire from the Company, effective May 5, 2006. The Company and Mr. Lough will be entering into a retirement agreement.
