Item 8.01 Other Events.

Pursuant to Ingram Micro Inc.’s (the “Company”) Corporate Governance Guidelines, which has been filed with the Securities and Exchange Commission (the “Commission”) and is available on the Company’s website, Mr. Dale R. Laurance is automatically the Lead Director of the Board of Directors due to his position as Chairman of the Governance Committee. While Mr. Laurance’s position as Chairman of the Governance Committee was disclosed in the proxy statement filed with the Commission on April 25, 2006, his position as Lead Director was inadvertently omitted.
