(2) The securities are directly owned by MCI WORLDCOM Network Services, Inc., a direct wholly-owned subsidiary of MCI Communications Corporation, which is a direct wholly-owned subsidiary of WorldCom, Inc. (3) The price of $3.895 is net of underwriters' discounts and commissions. The shares were sold in a public offering at a price of $4.10 per share.
