Explanation of Responses:
1. Direct stock ownership of the reporting person consists of 3,800 shares of restricted stock granted pursuant to the 1996 Stock Incentive Plan. The reporting person is not entitled to transfer, sell, pledge, hypothecate or assign any portion of the shares prior to the lapse of certain restrictions: restrictions lapse for 20% of the award on the first anniversary of the grant date, 20% on the second anniversary of the grant date, 20% on the third anniversary of the grant date, 20% on the fourth anniversary of the grant date and 20% on the fifth anniverary of the grant date.
2. Represents a pay-out under the Management Deferred Compensation Plan of 1,146.21 phantom stock units at a price of $28.47, as specified under the Plan.
3. Payment of tax liability associated with a pay-out under the Management Deferred Compensation Plan, as specified under the Plan.
4. Between January 24 and February 25, 2004, the reporting person acquired 133.39 shares of The Dial Corporation's Common Stock at a price range of $28.68 to $28.71 under The Dial Corporation 401(k) Savings Plan.
5. Security converts to common stock on a one-for-one basis.
6. Discount phantom stock units paid under the Corporation's Management Deferred Compensation Plan, which vest at the end of the second plan year following the plan year in which such units were acquired.
7. Represents the vesting of discount phantom stock units the reporting person acquired under the Corporation's Management Deferred Compensation Plan, which vested at the end of the second plan year following the plan year in which such units were acquired.
8. Phantom stock units paid under the Corporation's Management Deferred Compensation Plan.
