Explanatory Note

On December 5th, 2023, Check Point Software Technologies Ltd. (the “Company”) announced that, in response to an inquiry from the Securities and Exchange Commission (the “SEC”) enforcement division, the Company voluntarily provided certain information and documents related to its experience three years ago with the 2020 SolarWinds Orion cyber vulnerability. The Company cooperated with the inquiry and advised the SEC on the Company’s use of such software and the absence of any access to customer information, sensitive data, code or any other company asset. The Company identified access leading to a limited testing environment, which it believed was immaterial, and the Company is engaged in settlement discussions with the SEC as to whether this was to be disclosed in the Company’s historical annual report. The Company believes that any payment to the SEC in connection with such settlement would not have a material impact on the Company’s results, operations or financial condition. Further, the matter does not implicate any historical financial statements filed by the Company with the SEC. There is no assurance that the matter will eventually be settled under the terms currently being discussed or at all, and any settlement would be subject to approval by the SEC Commissioners.
