Item 8.01.  Other Events.
 
The Office of Thrift Supervision recently requested that E*TRADE Financial Corporation (“the Company”) declare its intentions with respect to the Company's application to participate in the Capital Purchase Program under the Emergency Economic Stabilization Act of 2008. In light of the funding received from the Company's recent capital raising activities and the reduction in interest bearing indebtedness resulting from the recent debt exchange transactions, the Company withdrew its application on October 30, 2009.
