SUBSEQUENT EVENTS

On October 20, 2015, the Company finalized working capital adjustment negotiations in relation to the Company’s sale of the PBM Business, whereby the Company agreed to repay approximately $1.0 million to the PBM Buyer. This adjustment has been reflected in the results of the Company’s business for the third quarter ended September 30, 2015.
Fifth Amendment to Senior Credit Facilities
On October 9, 2015, the Company entered into the Fifth Amendment. The Fifth Amendment directly modifies the definition of a “Continuing Director” to remove the following language: “(excluding, in the case of both clauses (B) and (C), any individual whose initial nomination for, or assumption of office as, a member of that board or equivalent governing body occurs as a result of an actual or threatened solicitation of proxies or consents for the election or removal of one or more directors by any person or group other than a solicitation for the election of one or more directors by or on behalf of the board of directors).” The definition of “Continuing Director” is now defined in full as, “with respect to any period, any individuals (A) who were members of the board of directors or other equivalent governing body of the Borrower on the first day of such period, (B) whose election or nomination to that board or equivalent governing body was approved by individuals referred to in clause (A) above constituting at the time of such election or nomination at least a majority of that board or equivalent governing body, or (C) whose election or nomination to that board or other equivalent governing body was approved by individuals referred to in clauses (A) and (B) above constituting at the time of such election or nomination at least a majority of that board or equivalent governing body.” This amended definition also indirectly modifies the definition of a “Change in Control.”
