Item 5.05. Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

 

On December 15, 2017, the ANSYS, Inc. (the “Company”) Board of Directors (the “Board”) adopted an amended and restated Code of Business Conduct and Ethics (the “Code”), which became effective on February 7, 2018. The code applies to all team members of the Company, including the principal executive officer, principal financial officer, and principal accounting officer, and to all directors of the Company and its subsidiaries.

 

A copy of the Code is included as an exhibit to this Form 8-K and is incorporated herein by reference. In addition, a copy of the Code is posted on the Company’s website at https://www.ansys.com/codeofconduct.
