     At the annual meeting of stockholders of Onyx Pharmaceuticals, Inc. held on May 25, 2006, the stockholders approved an amendment to Onyx’s Employee Stock Purchase Plan, or the ESPP, to increase the number of authorized shares available for issuance under the ESPP by 75,000 shares.
