15. ACQUISITIONS :

The following acquisition was considered a business combination and accounted for under ASC

because this acquisition was

considered material.

On

December 14, 2017,

the Company acquired certain assets of Transwest San Diego, LLC, which included a Ford truck franchise in San Diego, California. The transaction was valued at approximately

$2.2

million, with the purchase price paid in cash.
