Item 1.02Termination of a Material Definitive Agreement.
On November 30, 2021, CynergisTek, Inc., a Delaware corporation (the “Company”), entered into a Termination Agreement with Craig-Hallum Capital Group LLC (“Agent”) pursuant to which the Company and Agent mutually agreed to terminate the Equity Distribution Agreement dated November 12, 2020, as amended (the “Agreement”), effective November 25, 2021.
As previously disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on November 12, 2020, pursuant to the terms of the Agreement, the Company could offer and sell, from time to time at its sole discretion, shares of its $0.001 par value common stock, having an aggregate offering price of up to $5,000,000, to or through the Agent as its sales agent.
The Company is not subject to any termination penalties related to the termination of the Agreement.
