All of the shares underlying the award accelerated and vested on June 6, 2008. On February 19, 2008, the reporting person was granted a performance share award for 8,000 shares of common stock, subject to certain vesting provisions. Fifty percent (50%) of the shares underlying the award accelerated and vested on June 6, 2008. Pursuant to the Merger Agreement between the Issuer and Blue Coat Systems, Inc., each share of Packeteer, Inc. common stock was exchanged for $7.10 in cash. The stock option is fully vested. Pursuant to the Merger Agreement between the Issuer and Blue Coat Systems, Inc., the stock option was assumed by Blue Coat Systems, Inc. and replaced with a stock option to purchase 0.385 shares of Blue Coat Systems, Inc. common stock for each share of Issuer common stock subject to the Isser stock option at an exercise price equal to the current exercise price divided by 0.385 per share. The stock option is exercisable as follows: (i) 25% of the option shares upon completion of one year of service from the grant date; and (ii) 1/48 of the option shares upon completion of each additional month of service.
