Item 8.01 Other Events.

On February 14, 2006 TLC Vision Corporation issued a press release announcing 2006 financial guidance. All financial guidance refers to the Operating Business, defined as TLC’s operating activities excluding the impact of the AMD segment, principally represented by TLC's investment in OccuLogix, Inc.
