Item 5.    Other Events.

On February 4, 2003, Hall, Kinion & Associates, Inc., a Delaware corporation (the “Company”), announced financial results for the quarter and year ended December 29, 2002. A copy of the Company’s press release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
