Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
     Effective as of the Company’s Annual Meeting of Stockholders on April 19, 2007, Article III, Section 3.2 of the Company’s Amended and Restated Bylaws was amended to decrease the authorized number of directors of the Company from ten to nine. A copy of the Company’s Amended and Restated Bylaws is attached hereto as Exhibit 3.1.
