State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period.

     Due to a number of changes that needed to be made to the report that
     arose late in the drafting process, the Registrant was unable to provide
     a final version of the draft of the Form 10-KSB to its auditors in
     sufficient time to permit them to complete their review by the due date
     of the report.

estimate of the results cannot be made.

     The Registrant anticipates that it will report a net loss for the year
     ended December 31, 2007 $4,832,325 as compared to a net loss of
     $1,933,869 for the year ended December 31, 2006. The increase in the net
     loss of $2,898,456 was primarily attributable to an increase in salaries
     and wages with the hiring of the management team, additional professional
     fees relating to the Company's business plan being implemented for a full
     twelve months as compared to the last six months of 2006 and a full year
     of General and Administrative costs and support staff for 2007.
