               Registrant has encountered  delays in completing its Annual Report on Form 10-KSB for
               the year ended December 31, 2000, because the personnel primarily  responsible had to
               devote their time to the current  business  activities of  Registrant  rather than to
               completing the Annual Report on Form 10-KSB.

               For the fiscal year ended  December  31,  2000,  Registrant  incurred a net loss from
               continuing operations of $4.903 million on revenues of $4.323 million. For the fiscal
               year  ended  December  31,  1999,  Registrant  incurred  a net loss  from  continuing
               operations  of  approximately  $7.945  million on  revenues  of  approximately  $5.39
               million.  The primary  reason for the decrease in revenues was that during 1999,  the
               Registrant  had received a contract  settlement in the amount of $919  thousand.  The
               primary reason for the decrease in the net loss was the decrease in non-cash expenses
               associated with financing costs.
