Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. Effective November 10, 2005, Stephen P. Sarno was appointed Corporate Controller and Chief Accounting Officer for Sapient Corporation (the "Company"). Also effective November 10, 2005, Terry E. Hazel resigned from her role as Corporate Controller and Chief Accounting Officer. She remains at the Company as the Internal Audit Team Lead. Mr. Sarno served as a Director of Finance and Accounting for BearingPoint, Inc. from February of 2004 until joining Sapient Corporation. Prior to his role as Director of Finance and Accounting for BearingPoint, Inc., Mr. Sarno was employed by PricewaterhouseCoopers LLP. While at PricewaterhouseCoopers LLP, Mr. Sarno served as a Manager from 1998 to 2001, and subsequently served as a Senior Manager until February of 2004. Mr. Sarno is 38 years old. Mr. Sarno will receive base compensation of $17,500 per month as well as 6,000 shares of common stock pursuant to a restricted stock unit award under the Sapient Corporation 1998 Stock Incentive Plan. The restricted stock units will vest equally over four years, on the first, second, third and fourth anniversaries of the grant date (November 1, 2005). Mr. Sarno will be eligible to earn a bonus for the 2005 calendar year up to $40,000.00, subject to the terms of the Company's 2005 Global Bonus Plan.
