Separation Agreement with Suzi Herbst, Chief Operating Officer and Corporate Secretary

On September 21, 2023, INNOVATE Corp. (the “Company”) and Ms. Suzi Herbst, the Company’s Chief Operating Officer, determined by mutual agreement that Ms. Herbst’s employment with the Company would cease on or around October 20, 2023. Ms. Herbst’s resignation is not a result of any disagreement with the Company on any matter relating to its operations, policies or practices.

In connection therewith, the Company and Ms. Herbst entered into a Separation and Release Agreement dated September 21, 2023 (the “Agreement”). Pursuant to the Agreement, the Company will pay Ms. Herbst the severance payments and benefits described in and subject to the terms of the Company’s previously disclosed Executive Severance Guidelines.

The foregoing description of the terms of the Separation and Release Agreement is a summary of certain of its terms only and is qualified in its entirety by the full text of the Separation and Release Agreement filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
