Explanation of Responses:
1. On November 12, 2014, the issuer declared a stock dividend of 1 share of common stock, par value $0.01 per share ("Common Stock"), for every 9 shares of Common Stock owned by holders of record at the close of business on December 1, 2014. The stock dividend was paid on December 15, 2014. As a result, the reporting person received 22 shares of Common Stock. At the same time, pursuant to the anti-dilution provisions of the issuer's 2011 Omnibus Incentive Plan, all outstanding restricted stock units were adjusted to account for the stock dividend, resulting in the reporting person receiving 1,351 additional restricted stock units.
2. Restricted stock units convert into common stock on a one-for-one basis.
3. On January 22, 2014, the reporting person was granted 1,500 restricted stock units (or 1,666 restricted stock units taking into account the stock dividend described in footnote (1) above), vesting in three equal annual installments beginning on the first anniversary of the grant date.
