a. Non-Executive Director Compensation

b. In September 2023, with the consent of the Audit Committee of the Board of Directors, the Company engaged one of its non-executive directors to advise the Company regarding business development and licensing efforts on a consultancy basis. For the years ended December 31, 2023 and 2024, we recorded an expense of a total of $35,475 and $1,350 for such consulting fees, respectively.
