Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 12, 2023, Protalix BioTherapeutics, Inc. (the “Company”) announced the appointment by its Board of Directors of Eliot Richard Forster, Ph.D. as Chairman of the Company’s Board of Directors effective as of September 14, 2023. Zeev Bronfeld, the Company’s current Chairman of the Board, has notified the Company of his retirement from the Company for personal reasons, effective as of the same date. A copy of the press release announcing the appointment and the retirement is filed as Exhibit 99.1 and is incorporated by reference herein.

As compensation for his services as Chairman of the Board, the Company will grant to Dr. Forster a 10-year option to purchase 85,715 shares of the Company’s common stock, par value $0.001 per share, under the Company’s Amended and Restated 2006 Stock Incentive Plan, as amended (the “Plan”). The options will vest in 12 equal quarterly increments over three years (subject to certain terms and conditions). Vesting of the options will be accelerated in full upon a Corporate Transaction or a Change in Control, as those terms are defined in the Plan. The exercise price of the options will be equal to the closing sales price of the Company’s common stock on the NYSE American for the trading day immediately preceding the date of the grant.

In addition to the option, Dr. Forster will be entitled to an annual fee equal to $70,000, earned and payable on a quarterly basis and standard reimbursement of certain expenses. He is also entitled to indemnification and to be an insured under the Company’s D&O insurance policy, as are the Company’s other executive officers and directors.

Carmiel, Israel, September 12, 2023 /PRNewswire / Protalix BioTherapeutics, Inc. (NYSE American:PLX), a biopharmaceutical company focused on the development, production and commercialization of recombinant therapeutic proteins produced by its proprietary ProCellEx^® plant cell–based protein expression system, today announced that the Company’s Board of Directors has appointed Eliot Richard Forster, Ph.D. to serve on the Board of Directors as its Chairman, effective as of September 14, 2023. In addition to Dr. Forster’s appointment as Chairman and an independent director, he was also appointed to serve on the Company’s Nominating Committee. Zeev Bronfeld, the current Chairman of the Company’s Board of Directors, will retire on the same day.

Dr. Forster currently serves as the Non-Executive Chairman of Avacta Group PLC (AIM:AVCT), as a Non-Executive Director of Immatics NV (NASDAQ:IMTX) and as the Non-Executive Chairman of Ochre Bio, Inc., a private biotechnology company.

Dr. Forster served as the Chief Executive Officer of F-Star Therapeutics Ltd., a clinical-stage bispecific antibodies company, until its March 2023 sale to inovoX Ltd. Prior to that, he served as Chief Executive Officer of Immunocure Ltd., Chief Executive Officer of Creabilis SA and President and Chief Executive Officer of Solace Pharmaceuticals Inc., each of which was a privately-held life science company. Earlier in his career, he held positions at Pfizer Global Research & Development and Glaxo/GlaxoWellcome.

Dr. Forster holds a B.Sc. (Hons) and a Ph.D. from the University of Liverpool and an MBA from the Henley Management College. He is an Honorary Visiting Professor at the University of Liverpool and at the University of Pavia, and is a Board member of OSCHR (UK Office for Strategic Coordination of Health Research).
