Pursuant to the Agreement and Plan of Merger between GA Financial, Inc. and First Commonwealth Financial Corporation, dated December 11, 2003, each option to purchase a share of GA Financial, Inc. common stock was converted into either 2.752 shares of First Commonwealth Financial Corporation common stock or $35.00 less the applicable exercise price of each option, in accordance with the reporting person's election and the allocation and proration procedures contained in the Agreement and Plan of Merger.
