Item 5.02 Departure of directors or certain officers; election of directors; appointment of certain officers; compensatory arrangements of certain officers.

On February 27, 2023, the Compensation Committee of the Board of Directors of Lifecore Biomedical, Inc. (the “Company”) approved an increase to the annual base salary for Jim Hall, the Company’s Chief Executive Officer, from $374,920 to $500,000, effective February 13, 2023.
