(b) On January 7, 2008 Mr. George A. Troutman resigned as the Chief Financial Officer of the Registrant, such resignation to be effective February 4, 2008. The Registrant issued a press release on January 8, 2008 disclosing this event, which press release is furnished as Exhibit 99.1 to this Form 8-K.
