On April 13, 2005, the issuer's Board of Directors approved the grant to the reporting person under the issuer's 1995 Stock Option Plan of an option to purchase an aggregate of 8,000 shares of common stock at an exercise price of $19.25 per share, as reported in line 3 above. In addition, the issuer's Board of Directors approved the payment of $14,600 in cash to the reporting person, which amount was intended to compensate the reporting person for the difference in exercise prices between the exercise prices at which the options would have been validly granted under the Directors' Plan in 2003 and 2004, and the exercise price of the option granted on April 13, 2005.
