Explanation of Responses:
1. Exercise price is equal to the average closing price for the ten trading days prior to the date of grant.
2. The reporting person received 104,000 incentive stock options (ISOs) and 96,000 nonqualified stock options (NQOs) for a total of 200,000 options. All options have the same exercise price and vesting schedule.
3. The options become exercisable in four equal annual installments of 50,000 (26,000 ISOs and 24,000 NQOs) on 10/1/2014, 10/1/2015, 10/1/2016 and 10/1/2017.
