GRATS #2-#6were established by Mr. Barba, and the trustees for each GRAT are Mr. Paul Feeney (CFO of AEP Industries Inc.) and the two daughters of Mr. Barba (who are also the co-beneficiaries of each GRAT). Pursuant to an annuity distribution from the respective GRAT. An annuity distribution of 40,824 shares from GRAT #4 was made to Mr. Barba with the remainder shares distributed equally to the two daughters of Mr. Barba, the co-beneficiaries. An additional 8,940 shares of common stock were deducted from total holdings since the last Form 4 filing due to the holder's election to receive cash in lieu of shares upon the vesting of performance units on May 5, 2007.
