On July 20, 2010, SAP AG, a stock corporation organized under the laws of the Federal Republic of Germany (“SAP”), issued a press release (the “Press Release”) announcing that it has obtained approval from the European Commission for the acquisition of Sybase, Inc. The Press Release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
