On May 12, 2010, SAP AG, an Aktiengesellschaft organized under the laws of Germany (“SAP”), and Sybase, Inc., a Delaware corporation (Sybase”), issued a joint press release (the “Press Release”) announcing that SAP intends to acquire Sybase. The Press Release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
