Item 8.01. Other Events.

On May 23, 2025, Lake Shore Bancorp, Inc. issued a press release to announce the commencement of the stock offering by Lake Shore Bancorp, Inc., a newly chartered Maryland corporation, in connection with the conversion of Lake Shore, MHC from a mutual holding company to a stock holding company.  A copy of the press release is filed as an exhibit hereto and incorporated herein by reference.
