EXPLANATORY NOTE

This Form 8-K/A amends the Current Report on Form 8-K (the “Form 8-K”), dated and filed as of November 19, 2024, with respect to the Wells Fargo Commercial Mortgage Trust 2024-5C2. The purpose of this Form 8-K/A is to file a conforming executed version of the pooling and servicing agreement previously filed as Exhibit 4.6 to the Form 8-K, which governed the servicing and administration of the Queens Center Whole Loan prior to December 19, 2024. No other changes are being made to the Form 8-K other than the changes described above. Capitalized terms used and not otherwise defined herein shall have the respective meanings assigned to them in the Pooling and Servicing Agreement filed as Exhibit 4.1 to the Form 8-K.
