(1) This registration statement covers a total of 4,644,456 ordinary shares with a nominal value of CHF 0.01 per share of Oculis Holding AG (“Ordinary Shares”) that are issuable under the Stock Option and Incentive Plan Regulation 2023 (the “Plan”). Pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), this registration statement shall also cover any additional Ordinary Shares which may become issuable by reason of any share split, share dividend, recapitalizations, or any other similar transaction effected without consideration which results in an increase in the number of the outstanding Ordinary Shares.
