Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 24, 2024, Linda Van Etten, EQT Exeter Real Estate Income Trust, Inc.'s (the "Company") Controller and Treasurer, provided notice of her intent to resign from the Company. Ms. Van Etten’s resignation is effective May 17, 2024. Ms. Van Etten’s departure is not a result of any disagreement between Ms. Van Etten and the Company, the Company’s adviser, Exeter Property Group, LLC, or any other affiliates of the Company.

On April 30, 2024 (the "Record Date"), the Company declared distributions for its Class E common stock in the amount per share set forth below:

As of the Record Date, the Company had no outstanding shares of Class T, Class S, Class D, Class I, Class A-I, or Class A-II common stock. The distributions are payable to stockholders of record immediately following the close of business on the Record Date. These distributions will be paid on or about May 10, 2024 and will be paid in cash or reinvested in shares of the Company's common stock for stockholders participating in the Company's distribution reinvestment plan.
