Item 1.01.    Entry into a Material Definitive Agreement.

The information discussed under Item 2.01 of this Current Report on Form 8-K is incorporated by reference into this Item 1.01.

Item 2.01.    Completion of Acquisition or Disposition of Assets.

On January 22, 2024, (i) Cohen & Steers Income Opportunities REIT, Inc. (the “Company”) entered into a programmatic joint venture (the “JV”) with The Sterling Organization, LLC (“Sterling”) and (ii) the JV, through a wholly-owned subsidiary (the “Property Owner”), completed the purchase of certain property commonly known as the Marketplace at Highland Village from DDR Highland Village LP, an unaffiliated third party (“Seller”), pursuant to a Purchase Agreement, dated as of December 18, 2023, by and between Seller and the Property Owner (the “Agreement”). Through its ownership interest in the JV, the Company indirectly owns a 99% interest in the Property Owner. Neither Sterling nor the Seller are affiliated with the Company or its affiliates.

The Marketplace at Highland Village is an approximately 451,000 square foot open-air community shopping center built in 2006, that includes a Walmart-owned Supercenter. The acquired premises comprise nearly 207,000 square feet and are approximately 93% occupied by tenants including TJ Maxx, HomeGoods, LA Fitness, DSW and Petco. The total purchase price was $42.1 million, subject to closing costs, customary prorations and escrow arrangements. The Company funded the acquisition using proceeds from its private offering of Class P shares of common stock that was previously reported by the Company in its Current Report on Form 8-K filed January 18, 2024.

The terms and conditions of the acquisition are set forth in the Agreement, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.

On January 24, 2024, the Company issued a press release regarding the Company’s entrance into the joint venture and the acquisition of the property described in Item 2.01 above. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
