Item 1.01 | Entry into a Material Definitive Agreement | |
On October 15, 2024, TPG Twin Brook Capital Income Fund, a Delaware statutory trust (the “Company”), entered into a First Supplement (the “First Supplement”), to the Master Note Purchase Agreement dated as of March 19, 2024 (the “Note Purchase Agreement”), governing the issuance of $400,000,000 aggregate principal amount of Series B Notes consisting of (i) $85,000,000 aggregate principal amount of 6.42% Series B Senior Notes, Tranche A, due October 15, 2028 (the “Tranche A Notes”), (ii) $25,000,000 aggregate principal amount of Series B Senior Notes, Tranche B, due October 15, 2029 to be issued at a floating rate (the “Tranche B Notes”), and (iii) $290,000,000 aggregate principal amount of 6.52% Series B Senior Notes, Tranche C, due October 15, 2029 (the “Tranche C Notes,” collectively with the Tranche A Notes and Tranche B Notes, the “Series B Notes”), to qualified institutional investors in a private placement. The Tranche A Notes and the Tranche C Notes bear interest at a rate equal to 6.42% per annum and 6.52% per annum, respectively. The Tranche B Notes bear interest at a floating interest rate equal to three-month SOFR plus 3.24% per annum. The Series B Notes are guaranteed by Twin Brook Capital Funding XXXIII, LLC, a subsidiary of the Company.
All of the Tranche A Notes and the Tranche B Notes and $100,000,000 of the Tranche C Notes were delivered and paid for on October 15, 2024. Of the remaining Tranche C Notes, $100,000,000 and $90,000,000 are expected to be delivered and paid for on November 14, 2024 and December 12, 2024, respectively, subject to customary closing conditions.
Interest on the Tranche A Notes and the Tranche C Notes will be due semiannually on April 15 and October 15 of each year, beginning on April 15, 2025. Interest on the Tranche B Notes will be due quarterly on January 15, April 15, July 15 and October 15 of each year, beginning on January 15, 2025. The Series B Notes may be redeemed in whole or in part at any time or from time to time at the Company’s option at par plus accrued interest to the prepayment date and, if applicable, a make-whole premium or prepayment settlement premium. In addition, the Company is obligated to offer to prepay the Series B Notes at par plus accrued and unpaid interest up to, but excluding, the date of prepayment, if certain change in control events occur. The Series B Notes are general unsecured obligations of the Company that rank pari passu with all outstanding and future unsecured and unsubordinated indebtedness issued by the Company.
The Note Purchase Agreement, as modified by the First Supplement, contains customary terms and conditions for senior unsecured notes issued in a private placement, including, without limitation, affirmative and negative covenants such as information reporting, maintenance of the Company’s status as a BDC within the meaning of the 1940 Act, minimum shareholders’ equity of $832,750,000 plus 25% of the net proceeds from the sale of equity interests of the Company and its subsidiaries after August 16, 2024, a minimum net worth of $250,000,000, and a minimum asset coverage ratio of 1.50 to 1.00.
In addition, in the event that a Below Investment Grade Event (as defined in the Note Purchase Agreement) occurs, the Series B Notes will bear interest at the rate per annum which is 1.00% above the interest rate then in effect on the applicable Series B Notes from the date of the occurrence of the Below Investment Grade Event to and until the date on which such Below Investment Grade Event is no longer continuing. In the event that a Secured Debt Ratio Event (as defined in the Note Purchase Agreement) occurs, the Series B Notes will bear interest at the rate per annum which is 1.50% above the interest rate then in effect on the applicable Notes as of the earlier of (i) the date of the occurrence of the Secured Debt Ratio Event and (ii) the last day of the applicable fiscal quarter or fiscal year for which financial statements evidence the occurrence of the Secured Debt Ratio Event, to and until the date on which such Secured Debt Ratio Event is no longer continuing. In the event that a Below Investment Grade Event and a Secured Debt Ratio Event are both continuing at the same time, then as of the date on which both such events first simultaneously existed and are continuing until the earliest date on which either or both events is no longer continuing, the Series B Notes will bear interest at a rate per annum which is 2.00% above the stated rate on the applicable Series B Notes.
The Note Purchase Agreement, as modified by the First Supplement, also contains customary events of default with customary cure and notice periods, including, without limitation, nonpayment, incorrect representation in any material respect, breach of a covenant, certain cross-defaults or cross-acceleration under other indebtedness of the Company or its subsidiaries, certain judgments and orders and certain events of bankruptcy.
