Item 1.01 Entry into a Material Definitive Agreement

On February 4, 2025, NCPCIF SPV IV, LLC (formerly known as Nuveen Churchill PCF SPV I LLC, “SPV IV”) entered into the Second Amendment (the “Second Amendment”) to the Credit Agreement by and among SPV IV, as borrower, Nuveen Churchill Private Capital Income Fund (as successor in interest to Nuveen Churchill Private Credit Fund), as servicer, the lenders from time to time party thereto, the Bank of Nova Scotia, as administrative agent, U.S. Bank Trust Company, National Association, as collateral agent and collateral administrator, and U.S. Bank National Association, as custodian, which amends the Credit Agreement dated July 19, 2024 (as amended on August 1, 2024, the “Scotia Credit Agreement”). The Second Amendment amends the Scotia Credit Agreement to, among other things, add broadly syndicated loans to the definition of collateral loan to permit advances thereon pursuant to the Scotia Credit Agreement. The other material terms of the Scotia Credit Agreement were unchanged.
