Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 10, 2024, Joseph Branch notified the Board of Directors (the “Board”) of MSD Investment Corp. (the “Company”) that he was resigning as a director of the Board, effective immediately. In submitting his resignation, Mr. Branch did not express any disagreement on any matter relating to the Company’s operations, policies or practices.
