CBRE Acquisition Holdings, Inc. (“CBAH” or the “Company”) previously announced its planned business combination with Altus Power, Inc. (“Altus”), and CBAH filed with the Securities and Exchange Commission (the “SEC”) on November 5, 2021, a definitive proxy statement for the stockholders of CBAH that also constitutes a prospectus with respect to the shares of CBAH common stock to be offered and sold to the stockholders of Altus (the “Definitive Proxy Statement”).

SUPPLEMENT TO DEFINITIVE PROXY STATEMENT

This supplemental information should be read in conjunction with the Definitive Proxy Statement which should be read in its entirety. Page references in the below disclosures are to pages in the Definitive Proxy Statement, and defined terms used but not defined herein have the meanings set forth in the Definitive Proxy Statement. To the extent the following information differs from or conflicts with the information contained in the Definitive Proxy Statement, the information set forth below shall be deemed to supersede the respective information in the Definitive Proxy Statement. The Company believes the Definitive Proxy Statement is accurate and contains all material information required to be disclosed. However, to furnish further information to stockholders, we are providing the supplemental disclosure below in this supplement to the Definitive Proxy Statement.

During the two years preceding the date of its Opinion, Duff & Phelps has provided financial opinions and other financial and valuation services to Altus’s private equity sponsor, Blackstone Inc. (“Blackstone”) and its affiliates (including its portfolio companies), and has provided valuation and other advisory services to CBRE Group, Inc., the parent company of the Sponsor. For these prior engagements, Duff & Phelps received customary fees, expense reimbursement, and indemnification. The total fees paid by such parties are not material to Duff & Phelps’ total revenues. Revenues from Blackstone and companies identified by Duff & Phelps as Blackstone affiliates are less than $36.0 million from January 1, 2019 to October 31, 2021. Revenues from CBRE Group, Inc. are less than $6.0 million from January 1, 2019 to October 31, 2021. In each of 2019 and 2020 and in the ten-month period ended October 31, 2021, such revenues constitute less than 1% of Duff & Phelps’ total revenues for each of these periods.
