On November 4, 2025, Cipher Mining Inc. (“Cipher” or the “Company”) issued a press release announcing the intention of Cipher Compute LLC, its wholly-owned indirect subsidiary, to offer, subject to market conditions and other factors, $1.4 billion aggregate principal amount of senior secured notes due 2030 (the “Offering”) in a private offering to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended.

 

A copy of the press release announcing the Offering is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
